The Board of Trustees (BoT) is the Association's governing body, responsible for providing strategic leadership and direction to the Association.
It sets policies, oversees the Association's finances and operations, makes key decisions affecting the Association, and guides the Association in fulfilling its mission and achieving its objectives.
The functions of the Board of Trustees are as follows:
Shall exercise the corporate powers of the Association, conduct all business, hold, and control all the property, and set the policy direction for the Association. The BoT shall create an Executive Committee from among the officers elected by the GA to facilitate the conduct of the operations of the Association.
Finalizes and approves the detailed annual budgets and financial statements of the Association.
May call for supplementary fund-raising and accept grants, gifts, and other donations to ensure the financial health of the Association.
Shall appoint an internal auditor from among the membership.
Shall designate one of the Vice-Presidents to exercise the functions of President in the event of the absence or disability of the President.
May propose to amend the articles or incorporate a new article in these Rules of Procedure. The BoT may also call for a special election to fill a post vacated for whatever reason by an elected Officer or assign a temporary post-holder ensuring that the post is filled by the time of the next regular elections.
Approves the grant of honorary membership to AFICS.
Approves the nomination of any Association candidate to any of the FAFICS positions in the Bureau or any other committees and working groups of FAFICS and endorses the Association’s representation to FAFICS annual council meetings.
The BoT through the Secretary receives and acts on formal letters of complaint to the officers of the organization and ExCom members.
The Board of Trustees consists of seven (7) elected members, including the President, Secretary, and Treasurer. The remaining Trustees are assigned responsibilities by the Board in accordance with the approved work programme and the operational needs of the Association.
Trustees serve for a term of two (2) years and may be elected for a maximum of two consecutive terms.
The Board of Trustees and the Executive Committee are elected in different years to ensure continuity of leadership.
The Board of Trustees meets regularly every two months. Special meetings may be called by the President as needed. The Board also has regular joint meetings with the Executive Committee to discuss matters requiring coordination and action.
